The Legal Backbone to Jersey’s IFC Success

I’m conscious that my last blog had a bit of a history edge to it, reflecting on the evolution of the Commonwealth and how the organisation embodies the concept of collaboration, a concept I feel is so important for IFCs today. This time it’s another slightly historical take, but for good reason – taking a look at the evolution of our legal framework and how centuries of legal certainty is continuing to attract global investment.

Interestingly, this year marks 250 years since our namesakes across the Atlantic, New Jersey, adopted its first state constitution in 1776, establishing the legal foundations that would shape one of America’s most economically significant states.

At the same time, back here in Jersey, we had already reached a defining constitutional milestone. Just five years earlier, in 1771, the Island’s Code of Laws codified centuries of customary legislation into a single authoritative legal framework, creating one of the most important moments in Jersey’s constitutional history.

Although their histories unfolded independently, the two Jerseys share a common lesson: enduring prosperity is built upon the rule of law, legal certainty and institutional integrity. Those principles have stood the test of time and remain central to why ‘our’ Jersey has become one of the world’s leading international finance centres and a trusted partner for investors – from New Jersey, across the US and globally.

Predictable but progressive

Why is all this important? Because, in effect, our jurisdiction’s Code of Laws made our legislation more transparent, more accessible and more predictable. Those are qualities that remain absolutely fundamental to modern financial centres today.

Perhaps most importantly, the Code established a legislative precedent that still influences Jersey’s constitutional and legal culture. Rather than continually rewriting its constitutional foundations, Jersey has built upon them, allowing its legal framework to evolve steadily while maintaining exceptional continuity.

That continuity and legal certainty, the tried-and-tested case law and quality of our legal professionals combine to form one of Jersey’s greatest competitive advantages, essentially forming the backbone of our success as an IFC, and we see that play out consistently as a theme when investors are making jurisdictional decisions today.

For international investors, legal certainty is far more than an academic concept. Whether establishing an investment fund, administering a trust, managing cross-border succession planning or structuring private capital investments, confidence depends upon predictable laws, experienced courts and consistent legal interpretation.

But we remain progressive too, balancing progress and innovation with the certainty investors need. In fact, over the last year we’ve seen just how progressive Jersey can be.

A number of changes were made this summer to our Companies Law, adding greater clarity and flexibility for the modern environment; amendments to our Trust Law – the blueprint for trusts legislation globally – came into force, enhancing further Jersey’s leading position in the private client landscape; and enhancements to the Jersey Private Fund regime last year have served to underpin Jersey’s proposition in the alternative funds space and capabilities in supporting the needs of professional investors.

And the pace of change is not relenting this year – a significant programme of phased changes to the ‘COBO’ legislation is underway, aimed at improving and streamlining onboarding and structuring through Jersey. There is more on the horizon too.

It’s all about balancing progress and innovation in an evolving landscape, with the certainty and stability of a world-leading legal system.

I believe Jersey has struck the right balance here, because that legal certainty filters through to inform and support Jersey’s longstanding reputation for integrity – its consistent willingness, for instance, to meet evolving international regulatory standards, working closely with organisations including the EU, OECD, FATF; to demonstrate a commitment to tax transparency and tax neutrality; and to showcase a leading and robust approach to beneficial ownership. Investors, businesses, asset managers, families and advisers recognise just how important this integrity is.

 

Full circle

And now, it seems, we have come full circle. 250 years on, and, as New Jersey marks a milestone in its constitutional and legal history, the US is a key and rapidly growing market for us in Jersey – evidenced through our recent flagship US series of events and activity.

Indeed, that week-long programme of activity alone highlighted how, for internationally active families, fund managers and businesses right across the US, the legal certainty Jersey offers is absolutely critical when it comes to jurisdictional selection.

We hear time and again from US attorneys and advisers that that is why Jersey is winning more business from the US. And it’s the same in other markets too, from the UK and Europe, to Africa, the Middle East and Asia.

As private wealth becomes more global, investment structures become more complex, geopolitics creates fragmentation and succession planning increasingly spans multiple jurisdictions, advisers are undoubtedly looking for jurisdictions that reduce uncertainty rather than create it.

Jersey’s continued commitment to legal certainty, respected case law, transparent legislation and institutional integrity is responding to that need, driving up investor confidence and building valuable trust. It’s something that will come under the spotlight at our private wealth conference, ‘Trusted Shores’, in London this September.

Looking back, it is striking that while New Jersey was laying the constitutional foundations of a new American state in 1776, Jersey had already codified centuries of legal development through the landmark Code of 1771. Today, the enduring value of those strong legal institutions is clear.
